The mission of FulPal is to explore AI and media to optimize initial relationship building between a Startup and a potential Investor/Business Uplifter. Both Startup/Founder and Investor/Business Uplifter are signed to one financial intermediary media website (FulPal) that automatically matches a Startup to an Investor based on AI analysis of their common interest, and recommendation. When a Startup signs in and completes its profile, all the details are automatically forwarded to the potential Investor’s FulPal inbox, where then the most potential Investor gets to access them, analyze and write back to the Startup. In case a Startup does not receive feedback from most potential Investors within 14 days, a Startup should send the FulPal team an email (support@fulpal.com ) with the subject line “No Investor Feedback for (include the Startup name).” The FulPal team will then analyze your Startup details and may match you with another potential Investor manually or recommend you to resources or to another set of its team that will work with you to further improve your FulPal profile or pitch deck. Also, the financial intermediary media website (FulPal) has a living room for everyone, where both Startups and Investors get to access all the latest ecosystem publications, trending news, and upcoming events. Meanwhile, one most amazing thing is that Investors will also have the privilege to design their event publications, upload and publish them, and everyone who accesses the living room from time to time will be able to see them.

Article 1 - Definitions

“FulPal” designates the company FulPal, a limited company registered and based in Uganda. “Terms of Use” means these general conditions of use. “Internet user” designates any person browsing the FulPal website without having completed the registration process. “Investor” designates any natural or legal person or organization who commits capital to Startups with the expectation of financial returns. “Business Uplifter” designates any natural or legal person or organization who provides any support to ensure the growth of a Startup. According to FulPal, all Investors are Business Uplifters but not all Business Uplifters are Investors. “Startups” are young companies founded to develop a unique product or service, bring it to the market, and make it irresistible and irreplaceable for customers. “User/FulPal User” designates a Startup/Founder, Investor/Business Uplifter who has completed registration on the FulPal website. “Service” designates the unique value FulPal aims to provide as its product to its Users. “Site” designates the FulPal website.

Article-2. Acceptance of the Conditions of Use

By browsing the FulPal website, the Internet user accepts the Conditions of Use without reservation. In the absence of acceptance of the Conditions of Use, the Internet user understands that he must not use the website in any way whatsoever. These Conditions of Use must be considered as those applicable at the time of their acceptance, whether tacit or express. Startup/Founder or investor/Business Uplifter Registration Create a personal or business account on the FulPal website, complete the different fields of the registration form on the site, and confirm your acceptance of the Conditions of Use. Use of email to a FulPal User - The entire identification process (in particular, to access their personal account or business account) - Confirmation of any future transactions carried out by their personal/business account. - Communicating any information concerning their personal/business account to the FulPal team. - Providing all information relating to the use of the services available on the FulPal website. To the extent that their means of identification have reached the hands of third parties through their fault, the FulPal user will be solely responsible for any use of these means of identification and the use of the services made accordingly. To become a FulPal User, the Internet user, whether a legal or natural person should follow these steps:
• Go to the FulPal Site
• Click Get Started button
• Enter your email address and submit
• Check your email for OTP (One-time PIN)
• Copy the OTP and paste it on the Site and click the verify button
• Enter your identification details on the emerged page
• Start by identifying your status, whether you are a Startup or an Investor.
• If you select a Startup status, you will be taken to fill in the checklist requirements
for a Startup. If you select an Investor status, you will be taken to fill in the checklist requirements for an Investor.
• Fill in all the checklist requirements/questions and click the submit button.
• A new page will appear confirming your registration. You will also receive an email confirming your registration status. • For example, at this level, if you are an Investor, you will be ushered to your
dashboard, where you will be in a position to see the FulPal Inbox feature from where you will start receiving the potential Startup details, among other features like encrypted messaging. Yes, if you liked a Startup automatically recommended to your inbox, you can send them an encrypted message from within the FulPal.
• If you are a Startup/Founder, you will also be ushered to your dashboard from where you will see features like the FulPal inbox, from where you will see all the details of the most potential Investor, amidst other features like encrypted messaging and many others.

Article-4. Description of Services

4.1 Services

Service 1 of the FulPal is optimizing initial relationship building between a Startup and the potential Investor/Business Uplifter with the help of AI and media. Both Startup/Founder and Investor/Business Uplifter are signed to one financial intermediary media website (FulPal) that automatically matches a Startup to an Investor based on AI analysis of their common interest, and recommendation.

4.1.2 Absence of Financial Investment Advice

It is up to each Investor when considering investing in a Startup found through the FulPal website to ensure, through their due diligence, studies, and analyses, and where applicable, those of informed and competent professionals, that this investment is part of their investment strategy and corresponds to their personal, financial, asset, and tax situation. It is therefore recommended that an Investor, in addition to the tests carried out on the FulPal website, carry out a precise and detailed analysis for each investment envisaged in a Startup: - Assess their financial capacity to bear the economic risk of the planned investment. - Ensure they have sufficient means to meet their current and future needs and those of their family and loved ones. - Confirm that they do not have a liquidity need for the planned investment.

4.1.3 Knowledge of the general principles of wealth management

The Member expressly declares to know and apply the essential rules of asset management concerning investment in the capital of unlisted companies, including the following principles: - Do not invest more than 10% of your assets excluding real estate in this asset class. - Do not invest savings that could be necessary in the short or medium term. - Diversify your investments as much as possible within this asset class, so that each investment never represents more than 10% of the invested portfolio. - The return on investment depends on the success of the funded project. These general points are recalled for information purposes, without characterizing any obligation towards FulPal.

4.1.4 Fight against Money Laundering – KYC

The No. 1 service offered by FulPal is limited to optimizing initial relationship building between Startups/Founders and Investors/Business Uplifters. FulPal Users are informed that FulPal is not a financial intermediary legally required to comply with regulations related to the fight against money laundering, financing of terrorism, and tax fraud. However, FulPal reserves the right to request information from any of its Users, either upon registration or later, as required by regulations related to the fight against money laundering, financing of terrorism, and tax fraud. As such, FulPal reserves the right to request the production of the following documents: - Copy of a valid identity document - Copy of proof of address less than three (3) months old - Form on the origin of one's income and assets.

Article-5. FulPal remuneration

The pricing conditions applicable to FulPal Users are recalled below. 5.1 Investors

An Investor will be charged according to the following subscription plan; 1 st month is a free trial, 2nd to 3rd month is US$1.99, from 4th month for every month is US$25, for 3 months is US$73, 6 months US$142, and 12 months US$279 inclusive of Tax. With these rates, an Investor will be in a position to access the matched and AIrecommended Startups/Founders details straight to his/her FulPal inbox, including all the services provided in the living room/public page. However, the rates are subject to changes the reasons will always be communicated by FulPal before the effecting dates.

Article-6. FulPal's commitments and liability

FulPal undertakes to provide the Services following the Terms of Use. FulPal undertakes to provide the Services diligently, with the understanding that it must make an effort, excluding any obligation to achieve a specific result, which the User expressly acknowledges and accepts. FulPal does not guarantee that the Services will be completely free from errors, defects, or interruptions, or that they will be continuously available. Additionally, the Services are standard and are not offered solely for the benefit of a User, based on their constraints, or to specifically meet their individual needs and expectations. Under no circumstances can FulPal be held responsible for the data, information, and/or content provided by a Startup, whether or not accessible to the public. FulPal is not responsible for the accuracy or completeness of said data, information, or content, nor for any errors or omissions they may contain. Furthermore, FulPal cannot be held liable for damages resulting from the use of any content displayed or transmitted by electronic mail or any other means via the FulPal website. FulPal relies on the assumption that the data transmitted by Startups is accurate and complete only enough to attract potential Investors to build initial relationships with them. FulPal has no general obligation to monitor the data and content provided by Users, nor any obligation to delete content that is not illegal, despite its possible reporting. However, FulPal reserves the right to delete content posted by Users if it does not comply with the publication criteria defined by FulPal. In general, FulPal reserves the right to modify any information appearing on the website at any time and without notice, as part of its updates or the correction of errors or inaccuracies. FulPal is not responsible for the content of third-party websites to which hypertext links on the FulPal website refer. FulPal undertakes to: (i) use its best efforts to ensure the security of its website; (ii) inform the User of any reasonably foreseeable difficulty, in particular with regard to the implementation of the Services or the proper functioning of its website; And (iii) carry out regular checks to verify the operation and accessibility of its website. FulPal reserves the right to modify at any time the technical terms of access to the Services and its Site depending, in particular, on developments in technology or its service offering. Article-7. Disclaimer

7.1 No guarantee of the information contained on the Site. The Investor expressly

acknowledges and accepts that FulPal does not guarantee any information on the financial transactions presented on the Site. All information is presented by the Startup and is its exclusive responsibility. The data is based on information believed to be reliable, but FulPal makes no representation that it is accurate, complete, or valid and such information should not be relied upon as such for any purpose. It is up to Investors to gather and verify all the information they deem useful in making an investment decision. FulPal only relies on the assumption that the data transmitted by Startups is accurate and complete enough to build an initial relationship between them and the potential Investors. All content appearing on the Site is presented on the date indicated therein and “as is”. The content of the Site may be subject to delays, omissions, errors, or inaccuracies. The posting of the valuation on the Site does not in any way constitute a guarantee of the value of the company, and it is up to Investors to gather all the information they consider necessary to make a judgment on the proposed valuation. and determine the opportunity for an investment. The Investor expressly acknowledges that no advice and no information, whether oral or written, obtained by the Investor from FulPal or when using the Site is likely to create guarantees or obligations not expressly provided for by these Terms of Use. 7.2 No guarantee of investments made through the Site The Investor expressly acknowledges being fully aware that any investment in the capital of Startups presents a high risk of losing the entire capital invested and having no liquidity at the end of the desired investment period. The Investor has exclusive control over the management of their assets and retains full responsibility for their investments. It is up to them to determine their investments and make informed decisions, considering their personal, family, property, financial, and tax situation. The Investor acknowledges that any investment made and discovered on FulPal carries significant risks for their assets, as mentioned above, and declares to accept them without reservation for each of the investments they make through the Site. The Investor expressly and irrevocably undertakes to refrain from investing in financial products presented on the Site if (i) the Investor considers that the available information is insufficient to fully assess the investment opportunity, (ii) the Investor considers that their understanding of the offered financial product and the associated risks is insufficient, (iii) their personal, family, property, financial, and tax situation does not allow them to invest calmly considering the risks presented by the financial product in which they plan to invest. In any event, FulPal cannot be held responsible for any inappropriate investment, and FulPal declines all responsibility for the consequences of any nature, particularly financial, legal, and tax, resulting from subscribing to financial securities.

Article-8. Commitment and Responsibility of Users

Compliance with the regulations in force. The User declares to strictly comply with all legal, regulatory, and administrative provisions applicable to it the violation of which could affect its ability to undertake within the framework of the Services. Accuracy of the information provided. The User undertakes to provide FulPal with all the information and/or documents necessary for the proper execution hereof for the provision of the Services and more generally, to actively cooperate with FulPal for the proper execution of these presents. If the User does not comply with this obligation, FulPal reserves the right to suspend the Services until the required information or documents are obtained. The User guarantees to FulPal that all the information and documents he provides to FulPal are accurate, up to date, and sincere on the day they are communicated to FulPal and are not tainted by any misleading or misleading nature. Article-10. Intellectual property

FulPal owns the Site, both in its technical and graphic, textual or other components, excluding the content provided by the Investors themselves and by the Startups. FulPal is therefore the sole owner of all intellectual property rights relating to the Site, its content as well as the databases ensuring its operation, and use of the Site does not give Users any rights over any of these elements, subject to the rights relating to the content provided by the Investors themselves and by the Startups. Acceptance of these Conditions of Use constitutes recognition by Internet Users and Users of FulPal’s intellectual property rights listed above and the commitment to respect them.

Article-11. Duration and termination

Access to the Site is valid for an indefinite period from the User’s acceptance of the Conditions of Use, subject to the provisions outlined in this Article. Termination by the User. The User can terminate their FulPal presence by deleting their account at any time or by sending an email to the following address: support@fulpal.com. After termination, the User will no longer have access to the Site, or User’s dashboard, will be unable to use the Services, and will not be entitled to reimbursement of any costs as specified in Article 5. Automatic Termination. Without prejudice to any damages that FulPal may claim, FulPal reserves the right to suspend or terminate the User's access to the Services and the restricted access pages of the Site at any time. FulPal may also terminate the contractual relationship resulting from the acceptance of the Conditions of Use automatically, without notice, compensation, or reimbursement of any costs as specified in Article 5. Article-12. Complaints

In the event of a complaint concerning the Site and the Services, the Internet user or User must comply with the process described on this link. FulPal undertakes to assess and process the admissibility of the request as quickly as possible.

Article-13. Contract integrity

If one or more of the clauses of the Terms of Use were declared invalid according to a law, regulation, or following a final decision of a competent court, the other clauses will retain all their force and scope to the extent taken by the said decision. Clauses declared null and void will, following the spirit and purpose of these presents, be replaced by other valid clauses, which, given their scope approximate to the fullest extent permitted by law, the clauses declared null and void. 14. These Conditions of Use are subject to Ugandan law. Given the global dimension of the Internet network, each User is invited to comply with all rules applicable in the country where they reside.
